Notice of Annual General Meeting
The Annual General Meeting of Kenilworth Wardens Sports Club Limited will take place on Thursday 16th October 2025 at the Clubhouse, Glasshouse Lane, Kenilworth, commencing at 19:30.
It is vital that as many members and parents/guardians of junior members attend as possible, so please put this date in your diary and do your best to attend.
This is the first AGM since the Club decided to stay at Glasshouse Park, and we need to elect the new Board that will lead us into this new future.
The meeting is the official AGM of Kenilworth Wardens Sports Club Limited, and as such will cover formal business required by our Constitution and Company law. The provisional agenda is set out below:

Who Should Attend the AGM
With the challenges we face after withdrawing from the Castle Farm move, the Board is requesting that all Members and the families of junior members attend the AGM, and read the information and background provided beforehand. We ask everybody to consider what they could do to help the Club forge a new future at Glasshouse Park.

Who Can Vote at the AGM?
All participating members of the Club aged 18 and over can vote. Participating Members include all senior cricketers and footballers, and coaches and administrators who facilitate the playing of sports across all sections. What if I Cannot Attend? - Voting by Proxy
Members who are not able to attend the meeting will be able to cast their vote on proposals by completing a proxy voting form nominating how they wish to vote on each proposal on the agenda or nominating an individual to vote on their behalf. A copy of this form is available here.

Nominations for Election to the Board or Bar Committee
Opportunities exist for individuals to become members of both the Board and the Bar Committee.

The Board is the overall managing body of Kenilworth Sports Club Limited. Members of the Board act as nominated Directors of the Limited Company, and as such any nominees for election to the Board must be eligible to become a Director of the Company. Individuals elected to the Board will be expected to attend regular Board meetings during the year and take on responsibility for a particular area of responsibility – which is normally aligned to the individual’s personal interests and strengths.

The Bar Committee is directly elected by Members at the AGM and is responsible for the provision of the bar service in line with members’ expectations. This includes the range of drinks and foods available for sale, managing the ordering and counting of stock and the overall profitability of the bar. Members of the Committee are expected to be able to contribute to the running of the bar, which may involve stocktaking, ordering, receiving deliveries, product range and pricing reviews, and manning the bar for events where the bar receipts may not cover paid bar staff costs. Nominations for the Bar Committee DO NOT need to be members of the Board.

Nominees for both Board and Bar Committee need to be volunteers who have agreed to their nomination before submission. Given the lack of nominees submitted ahead of the meeting, Members will be able to put forward nominations during the meeting. Any Member being nominated must confirm that they are willing to be nominated before being put to Members. If an individual cannot attend the meeting, they must make it known to the Chair before the nomination is made that they are willing to attend.
